The objective of this framework is to promote innovation, entrepreneurship, and ease of doing business by providing startups with a range of regulatory, financial, and infrastructural benefits. A “startup” for the purpose of registration is generally defined as a private limited company, partnership firm, or limited liability partnership incorporated under the applicable laws in India, which is engaged in innovation, development, or improvement of products, processes, or services, or represents a scalable business model with high potential for employment generation or wealth creation. Additionally, the entity must not have exceeded the prescribed turnover threshold and must be within the specified period from the date of incorporation, as notified by the DPIIT. The registration process is primarily conducted through the Startup India Portal, wherein the applicant entity is required to furnish details regarding its incorporation, nature of business, innovation, and supporting documents such as the certificate of incorporation and a brief write-up of the business model. Upon due verification, the DPIIT grants a recognition certificate, thereby enabling the entity to avail itself of benefits under various government schemes. Although the Bharatiya Nagarik Suraksha Sanhita, 2023 (BNSS) is principally a procedural criminal law statute governing investigation, inquiry, and trial of offences, Startup India Registration may assume relevance within a BNSS framework in situations involving allegations of corporate fraud, misrepresentation, financial irregularities, or criminal breach of trust concerning a recognized startup entity. In such instances, the registration status, corporate structure, and statutory compliance records of the startup may be subject to scrutiny during investigation or trial. Recognized startups are eligible to avail several benefits, including tax exemptions under the Income Tax Act, simplified compliance requirements, expedited patent and trademark processing, access to government funding schemes, and relaxation in public procurement norms. However, any misuse of such benefits—such as obtaining recognition through false declarations, diversion or siphoning of funds, or engagement in fraudulent transactions—may attract penal consequences under applicable laws, with procedural aspects governed by the BNSS. In essence, Startup India Registration operates as a facilitative legal recognition mechanism aimed at fostering entrepreneurial growth, while simultaneously subjecting such entities to the overarching framework of legal accountability, including procedural compliance under the BNSS in the event of criminal proceedings.
