In India, the substantive framework governing share transfers is primarily laid down under the Companies Act, 2013, particularly Sections 44 and 56, read with the applicable rules made thereunder. The procedure for effecting a valid share transfer generally requires the execution of a duly stamped and signed instrument of transfer (commonly in Form SH-4), along with delivery of the original share certificate to the company. The transfer is subject to approval by the Board of Directors, and may also be restricted by the provisions of the Articles of Association, especially in the case of a private limited company. Upon approval, the company is obligated to record the transfer in its register of members and issue a fresh share certificate in the name of the transferee within the prescribed statutory period. Although the Bharatiya Nagarik Suraksha Sanhita, 2023 (BNSS) primarily governs procedural aspects of criminal law, its relevance arises in situations where share transfer transactions are tainted by elements of fraud, forgery, misrepresentation, or criminal breach of trust. In such instances, the procedural machinery under BNSS—including registration of complaints, investigation, summoning of accused persons, and trial—may be invoked to address and adjudicate criminal liability. Accordingly, while share transfer is essentially a matter of corporate and civil law, it may attract criminal procedural scrutiny under BNSS where the transaction involves unlawful conduct or criminal intent.
