Although such schemes are primarily governed by corporate and civil laws (such as the Companies Act, 2013), their relevance under the Bharatiya Nagarik Suraksha Sanhita, 2023 (BNSS) arises in the context of compounding of offences, settlement of disputes, and the exercise of judicial discretion to promote reconciliation and reduce unnecessary criminal litigation.
Under the BNSS framework, courts are empowered to encourage settlement between parties in appropriate cases, especially where the offence is compoundable in nature or arises out of private disputes such as commercial transactions, matrimonial issues, or financial dealings. A scheme of compromise may be presented before the court, outlining the mutually agreed terms between the parties, including payment of dues, withdrawal of allegations, restructuring of liabilities, or any other lawful conditions of settlement.

In cases where the offence is non-compoundable, the court may still take cognizance of the settlement under its inherent powers (particularly in the case of the High Court) to quash proceedings in the interest of justice, provided that the dispute is predominantly private in nature and that continuation of the proceedings would amount to an abuse of the process of law.
