It is one of the most prevalent forms of business organization in India, particularly suited for small and medium-sized enterprises and closely held ventures. As per Section 2(68) of the Companies Act, 2013, a Private Limited Company is defined as a company which, by its Articles of Association: (i) restricts the right to transfer its shares; (ii) limits the number of its members to 200, excluding present and former employees who are members; and (iii) prohibits any invitation to the public to subscribe to its securities. Such a company enjoys a separate legal identity, enabling it to own property, incur liabilities, and initiate or defend legal proceedings in its own name, independent of its shareholders. The liability of its members is limited to the extent of the unpaid amount, if any, on the shares held by them. In the context of the BNSS, 2023, which governs the procedural framework of criminal law in India, a Private Limited Company is recognized as a juristic person capable of being subjected to criminal proceedings. The provisions of the BNSS relating to investigation, inquiry, trial, compounding of offences, and enforcement of penalties are applicable to companies and are typically carried out through their directors, officers, or duly authorized representatives. Where an offence is alleged to have been committed by a company, liability may extend not only to the company itself but also to every person who, at the time of the commission of the offence, was in charge of and responsible for the conduct of its business. Such persons may, however, avail themselves of statutory défenses including the absence of knowledge or the exercise of due diligence. The company may be represented in criminal proceedings by an authorized signatory in accordance with applicable procedural requirements. Offences such as fraud, misrepresentation, cheating, criminal breach of trust, or other forms of corporate misconduct are governed substantively by the Bharatiya Nyaya Sanhita, 2023 and other relevant statutes, while the BNSS prescribes the procedure for their investigation, prosecution, and adjudication. In conclusion, although the BNSS does not regulate the incorporation or internal management of a Private Limited Company, it assumes significance in ensuring the procedural enforcement of criminal liability arising from acts or omissions attributable to such corporate entities.
