In India, the law relating to partnerships is primarily governed by the Indian Partnership Act, 1932, which delineates the rights, duties, and liabilities of partners inter se as well as in relation to third parties. A partnership is generally constituted through a Partnership Deed, which records essential terms such as the name and nature of the firm, capital contributions, profit-sharing ratio, roles and responsibilities of partners, dispute resolution mechanisms, and provisions relating to admission, retirement, and dissolution of partners. Although registration of a partnership firm is not mandatory under the said Act, an unregistered firm is subject to certain statutory disabilities, particularly with respect to enforcing contractual rights before a court of law. In the context of the Bharatiya Nagarik Suraksha Sanhita, 2023 (BNSS), which governs the procedural framework of criminal law in India, a partnership firm is not regarded as a separate legal entity distinct from its partners, unlike a company incorporated under statute. Consequently, in cases involving criminal liability—such as offences relating to cheating, criminal breach of trust, fraud, or dishonour of cheque—legal proceedings may be initiated against those partners who were in charge of and responsible for the conduct of the business at the relevant time. Under the BNSS, provisions relating to investigation, inquiry, trial, summoning of accused persons, recording of evidence, and execution of judgments are applicable to such partners where allegations pertain to acts committed in the course of partnership business. Criminal liability of partners is ordinarily personal in nature and is determined on the basis of their active involvement, consent, connivance, or negligence in the commission of the alleged offence. Thus, while the substantive law governing partnerships is derived from the Indian Partnership Act, 1932, the BNSS assumes significance in regulating the procedural aspects where disputes involving partnership firms culminate in criminal proceedings, thereby ensuring due process, fair trial, and accountability in accordance with law.
